AbleTime Limited (Beta) – User Terms of Service

1. Preamble & Purpose

Welcome to AbleTime, a cloud based time tracking service currently offered in Beta by AbleTime Limited, a company incorporated under the laws of Ireland and the European Union with registered offices in Dublin, Ireland ("AbleTime", "AbleTime Limited", "we", "us", or "our").

These User Terms of Service ("Terms") govern your access to and use of the AbleTime Beta web and mobile applications, APIs and related services (collectively, the "Service"). By creating an AbleTime account, accessing or using the Service, you ("you", "User") acknowledge that:

  • the Service is a work in progress Beta release and may contain defects;
  • AbleTime provides no guarantee of data availability, integrity or accuracy; and
  • you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

2. Definitions

  • Account – An administrative identity created by or for a User to access the Service.
  • Beta – A pre release version of the Service offered for the purpose of testing, feedback and improvement.
  • Content – All data, text, files or information uploaded to, processed by or generated within the Service, including time entries, project metadata and comments.
  • GDPR – Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation).
  • Subscription – The plan, if any, that governs the scope, features or limits of your use of the Service.
  • Active – A user whose account is marked as active in Settings > Personnel. Invited users who verify their accounts become Active. The account owner is always Active.

3. Acceptance of the Beta Terms

You accept these Terms by registering for an Account, clicking an "I agree" button, or otherwise affirmatively indicating your assent. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, you must not accept these Terms or use the Service.

4. Eligibility & Account Creation

To use the Service you must:

  1. be at least 18 years old (or the age of majority in your jurisdiction);
  2. have the legal capacity to enter into contracts; and
  3. provide accurate, current and complete registration information.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

5. Scope of the Beta License

Subject to these Terms, AbleTime grants you a revocable, non exclusive, non transferable, limited license to access and use the Service solely for internal evaluation and testing purposes. You may not:

  • sublicense, sell, resell, rent or lease the Service;
  • reverse engineer or decompile any portion of the Service, except to the extent permitted by law; or
  • use the Service to develop a competing product or service.

6. Beta Stage Limitations & "As Is" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" with no warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, title and non infringement. You acknowledge that:

  • The Service may be incomplete, suffer interruptions or errors, and certain features may change or be removed without notice.
  • Data loss, corruption or unrecoverable errors may occur. You should maintain separate backups of all important data.
  • AbleTime makes no commitment to release a commercial version of the Service or to continue providing the Beta.

7. Data Handling, Privacy & Security

7.1 Roles Under GDPR

For personal data contained in your Content, you are the Data Controller and AbleTime is the Data Processor. We process such data on your instructions as set out in these Terms and our Data Processing Addendum ("DPA").

7.2 Processing & Storage Location

Beta data is currently hosted on servers located in the European Economic Area. AbleTime may change hosting providers or locations with reasonable notice.

7.3 Security Measures

We implement appropriate technical and organisational measures designed to protect personal data, including encryption in transit, logical access controls and regular vulnerability scans. However, given the Beta nature, we do not warrant that these measures will prevent all unauthorised access or breach.

7.4 Data Retention & Deletion

During Beta, we may retain Content for up to 30 days after account termination, after which it may be deleted without notice. You may request earlier deletion via support.

7.5 Privacy Policy

Our separate Privacy Policy explains how we collect and use personal data when you visit our website or interact with us outside the scope of the Service. That policy is incorporated by reference.

8. User Content & Intellectual Property Rights

You retain all right, title and interest in and to your Content. By submitting Content to the Service you grant AbleTime a worldwide, non exclusive, royalty free license to host, reproduce, display, modify (solely as technically necessary) and process your Content for the purpose of providing and improving the Service. You represent that you have all rights necessary to grant this license and that your Content does not infringe any third party rights.

9. Feedback & Improvement Program

You may submit comments, bug reports or suggestions regarding the Service ("Feedback"). You agree that AbleTime may freely use, copy, disclose or exploit Feedback in connection with any of its products or services without restriction or obligation to you.

10. Third Party Services & Integrations

The Service may enable connections to third party applications (e.g., calendar or project management tools). Such integrations are provided "AS IS". Your use of third party services is governed solely by their terms; AbleTime is not responsible for their performance, availability or data handling.

11. Fees, Billing & Promotional Credits

The Beta is currently offered free of charge. From time to time, optional paid Beta plans or promotions may be offered; participation is strictly opt-in and you will not be charged without your explicit consent.

11.1 Payments – Stripe telemetry & fraud prevention

If you opt into any paid Beta plan or process payments, transactions are handled by Stripe. Stripe may collect device identifiers, network and browser information, and other telemetry for fraud detection and security when you initiate or manage payments. This telemetry may involve calls to Stripe endpoints (including https://m.stripe.com). Stripe processes certain data as an independent controller for fraud prevention and compliance. 11.1 Promotional Beta Pricing (“Half Price for Life”)

During Beta, we may offer special “Beta” plans priced at 50% of post‑Beta pricing. If you subscribe to a Beta plan and keep your subscription Active and uninterrupted, that promotional price will remain in effect for the life of that subscription. The promotion is non‑transferable; cancellations, downgrades to the Free plan, or lapses for non‑payment end eligibility. Taxes and paid add‑ons are billed separately. We may discontinue the promotion for new subscribers at any time without affecting existing eligible subscribers.

12. Billing & Users

12.1 Billing for Users

You are billed for all user accounts ("seats") that are Active at any time during a billing cycle, whether or not those users log in or track time.

“Active” has the meaning given in Section 2 (Definitions).

12.2 Inactive Users

Only accounts that remain inactive for the entire billing cycle are not billable.

12.3 Billing Method

When a user becomes Active (including invited users who verify their accounts), charges apply immediately: for monthly plans, the full per-user plan fee is charged; for yearly plans, a prorated amount is charged for the remainder of the current annual term. At the start of each subscription cycle, we charge for all users who are Active at that time.

12.4 Proration

For monthly plans, added users are billed for the full month. For yearly plans, added users are prorated for the remainder of the current annual term from the date they become Active.

12.5 Admins/Contractors

All accounts with login access, including owners, admins, managers, and contractors, are counted as billable seats.

13. Support, Maintenance & Service Levels During Beta

Support is offered on a best effort basis via email (support@AbleTime.com). No specific response or resolution times are guaranteed. Scheduled maintenance or downtime may occur without prior notice.

14. Termination, Suspension & Data Export

14.1 By You

You may terminate these Terms at any time by deleting your Account and ceasing all use of the Service.

14.2 By AbleTime

AbleTime may suspend or terminate your access to the Service at any time, with or without cause, by providing notice via email or in app message. Grounds for immediate suspension include violation of these Terms or applicable law.

14.3 Data Export

Prior to termination, you may export your Content using the Service's export tools (e.g., CSV download). After termination, AbleTime has no obligation to retain or provide any Content.

15. Limitation of Liability

To the maximum extent permitted by law, in no event shall AbleTime, its affiliates, directors, employees or licensors be liable for:

  • any indirect, incidental, special, consequential or punitive damages;
  • loss of profits, revenue, data, use, goodwill or other intangible losses; or
  • aggregate liability exceeding €100 (Euro one hundred).

This limitation applies whether the claim is based on warranty, contract, tort (including negligence) or any other legal theory, even if AbleTime has been advised of the possibility of such damages.

16. Indemnification

You agree to indemnify and hold AbleTime and its affiliates, officers, agents and employees harmless from any claim, demand, loss or damage arising out of or related to (a) your Content, (b) your use of the Service in violation of these Terms, or (c) your breach of any applicable law or regulation.

17. Modifications to the Service or These Terms

AbleTime may modify the Service or these Terms at any time. We will provide notice of material changes via email or in app notification. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

18. Governing Law & Dispute Resolution

These Terms are governed by French law, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts located in Dublin, Ireland.

19. Severability & Miscellaneous Provisions

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right shall not constitute a waiver. These Terms constitute the entire agreement between you and AbleTime regarding the Service and supersede all prior agreements or understandings.
